TERMS OF SERVICE

The terms and conditions governing your use of SCT+ security monitoring services.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SCT+ (Solar Camera Technology Plus, LLC) ("SCT+," "we," "us," or "our") governing your use of our solar-powered AI security monitoring services, including hardware, software, mobile applications, and related services (collectively, the "Services").

1. Agreement to Terms

By subscribing to, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use our Services.

2. Service Description

SCT+ provides an integrated security monitoring solution that includes:

2.1 Hardware

  • Solar-powered camera units with PTZ (pan-tilt-zoom) capabilities
  • Up to four dual-lens cameras per unit
  • 11 kWh lithium battery with 1500W solar panel system
  • Active deterrence hardware (police lights, talk-down speakers)
  • Cellular connectivity equipment

2.2 Software Platform

  • Cloud-based video management and monitoring platform
  • AI-powered analytics (facial recognition, vehicle recognition, license plate reading)
  • Real-time alert and notification system
  • Mobile application for iOS and Android
  • Investigative search and evidence tools

2.3 Monitoring Services

  • 24/7 human monitoring by trained security operators
  • Real-time threat assessment and response
  • Law enforcement coordination and dispatch assistance
  • Incident documentation and reporting

3. Account Responsibilities

3.1 Account Registration

  • You must provide accurate, complete, and current information during registration
  • You must maintain the accuracy of your account information
  • You must be at least 18 years old and legally able to enter into contracts

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must enable multi-factor authentication as required
  • You must immediately notify us of any unauthorized access to your account
  • You are responsible for all activities that occur under your account

3.3 Authorized Users

  • You may designate authorized users within your organization
  • You are responsible for your authorized users' compliance with these Terms
  • You must promptly remove access for personnel who are no longer authorized
  • Each authorized user must have their own unique login credentials

4. Hardware Terms

4.1 Equipment Ownership

All SCT+ hardware, including cameras, solar panels, batteries, mounts, and connectivity equipment, remains the sole property of SCT+. Your subscription provides a license to use the equipment for the duration of your service agreement. You acquire no ownership interest in any SCT+ equipment.

4.2 Customer Care Obligations

You are responsible for:

  • Providing a suitable installation location with adequate solar exposure
  • Ensuring the equipment is not obstructed, blocked, or tampered with
  • Notifying us promptly of any damage, malfunction, or performance issues
  • Protecting equipment from intentional damage by third parties where reasonably possible
  • Maintaining clear access for SCT+ technicians for maintenance and service visits

4.3 Damage and Loss

  • Normal wear and tear is covered under your subscription
  • You are responsible for damage caused by negligence, misuse, or unauthorized modification
  • You are responsible for theft or loss of equipment that results from inadequate site security
  • SCT+ will assess damage and provide repair or replacement as needed; charges for Customer-caused damage will be billed separately

4.4 Equipment Return

Upon cancellation or termination of service:

  • SCT+ will schedule equipment removal within 14 business days
  • You must provide reasonable access for our technicians to remove equipment
  • If you prevent or delay equipment removal, you may be charged a daily rental fee
  • Equipment not returned within 60 days of service termination may result in a replacement charge

5. Service Level Agreement

5.1 Uptime Commitment

SCT+ targets 99.9% platform availability for our cloud software and monitoring services, measured on a monthly basis. This excludes scheduled maintenance windows, which will be communicated at least 48 hours in advance.

5.2 Monitoring Availability

Our 24/7 human monitoring service operates continuously. In the event of a monitoring center outage, backup monitoring centers will assume operations. We target zero gaps in monitoring coverage.

5.3 Response Time

  • Critical alerts (active intrusion, safety threats): Operator review within 60 seconds
  • Priority alerts (perimeter breach, watchlist match): Operator review within 5 minutes
  • Standard alerts (motion detection, analytics events): Operator review within 15 minutes
  • Customer support requests: Response within 4 business hours

5.4 Exclusions

Our uptime and response commitments do not apply to outages caused by:

  • Force majeure events (natural disasters, severe weather, civil unrest, pandemics)
  • Customer-caused issues (equipment tampering, network interference, access denial)
  • Third-party service failures (cellular carrier outages, internet provider failures)
  • Scheduled maintenance performed within communicated windows
  • Government-ordered shutdowns or restrictions

5.5 Service Credits

If we fail to meet our 99.9% uptime commitment in any calendar month, you may request a service credit:

  • 99.0% - 99.9% availability: 10% credit on monthly fee
  • 95.0% - 99.0% availability: 25% credit on monthly fee
  • Below 95.0% availability: 50% credit on monthly fee

Service credits must be requested within 30 days of the affected month and are applied to future invoices. Credits do not exceed 50% of monthly fees and are your sole remedy for service availability failures.

6. Monthly Subscription

6.1 Pricing

The standard subscription fee is $1,500 per month per camera unit. This fee includes:

  • All hardware (camera unit, solar panel, battery, mounts, connectivity)
  • Full software platform access
  • 24/7 human monitoring
  • 30 days of cloud video recording
  • AI analytics and automated alerts
  • Mobile app access
  • Standard maintenance and support

6.2 Billing Cycle

  • Subscriptions are billed monthly in advance
  • Your billing cycle begins on the date of equipment activation
  • Invoices are issued on the same date each month
  • First month is prorated if activation occurs mid-cycle

6.3 Payment Methods

  • We accept major credit cards, ACH bank transfers, and wire transfers
  • For customers with 5+ units, we offer Net-30 invoicing upon credit approval
  • Payment information is securely processed by our PCI-compliant payment provider

6.4 Late Payment

  • Payments are due upon receipt of invoice (or Net-30 where applicable)
  • Payments more than 15 days past due will incur a 1.5% monthly late fee
  • Payments more than 30 days past due may result in service suspension (monitoring continues for safety, but platform access may be restricted)
  • Payments more than 60 days past due may result in service termination and equipment removal

6.5 Price Changes

  • We will provide at least 60 days' written notice before any price increases
  • Price increases take effect at the start of your next billing cycle following the notice period
  • You may cancel without penalty if you do not accept a price increase

7. Cancellation and Termination

7.1 Month-to-Month Service

SCT+ subscriptions operate on a month-to-month basis. There are no long-term contracts or early termination fees.

7.2 Customer Cancellation

  • You may cancel at any time by providing 30 days' written notice
  • Notice may be provided via email to support@sctplus.com or through your account settings
  • Your service will continue through the end of your current paid billing period
  • No refunds are provided for partial months

7.3 SCT+ Termination

We may terminate your service immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is more than 60 days past due
  • You engage in illegal activity using our Services
  • Continued service poses a safety or security risk

We may terminate your service with 30 days' notice for any other reason, including discontinuation of the Services.

7.4 Post-Cancellation Data

  • Video footage is retained for 30 days after cancellation, then permanently deleted
  • You may request a data export during this 30-day window
  • Account information is retained as required by law (billing records for 7 years)
  • AI-processed metadata is deleted within 30 days of cancellation

8. Acceptable Use

You agree not to use our Services to:

8.1 Prohibited Activities

  • Monitor areas where individuals have a reasonable expectation of privacy (restrooms, changing rooms, private residences without consent)
  • Conduct surveillance in violation of any federal, state, or local law
  • Harass, stalk, or intimidate any individual
  • Discriminate against individuals based on race, gender, religion, or other protected characteristics
  • Interfere with or disrupt SCT+ systems, networks, or services
  • Attempt to gain unauthorized access to other customers' data or systems
  • Reverse engineer, decompile, or disassemble any SCT+ software
  • Remove, alter, or obscure SCT+ branding or serial numbers on equipment

8.2 Equipment Restrictions

  • Do not tamper with, modify, or attempt to repair SCT+ equipment
  • Do not relocate equipment without prior SCT+ authorization
  • Do not connect unauthorized devices to SCT+ equipment
  • Do not obstruct solar panels or interfere with power systems

8.3 Compliance Obligations

  • You are responsible for obtaining all necessary permits for camera installation
  • You must comply with all applicable signage requirements for video surveillance
  • You must provide appropriate notice to individuals on your property about surveillance
  • You are responsible for compliance with industry-specific regulations applicable to your use

9. Intellectual Property

9.1 SCT+ Property

SCT+ owns all right, title, and interest in:

  • All hardware designs, firmware, and embedded software
  • The SCT+ cloud platform, mobile applications, and user interfaces
  • All AI and machine learning models, algorithms, and training data
  • The SCT+ brand, logos, trademarks, and trade dress
  • All documentation, specifications, and training materials
  • Aggregate analytics and insights derived from system-wide data (not attributable to any individual Customer)

9.2 Customer Property

Customers own:

  • Video footage captured by cameras deployed on their property
  • Event clips, alerts, and incident reports generated from their footage
  • Configuration settings, watchlists, and custom rules they create
  • Business information and account data they provide

9.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our software platform and mobile applications solely in connection with your active SCT+ subscription. This license terminates immediately upon cancellation of your service.

10. Limitation of Liability

10.1 Nature of Services

You acknowledge and agree that:

  • SCT+ security monitoring is supplementary to, not a replacement for, local law enforcement, emergency services, or on-site security personnel
  • No security system can guarantee prevention of all criminal activity, loss, or damage
  • SCT+ does not guarantee the accuracy of AI detections or the response time of law enforcement
  • Camera coverage may be affected by weather, lighting, obstructions, equipment malfunction, or connectivity issues

10.2 Limitation Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCT+'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SCT+ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.3 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCT+ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Property damage or theft that occurs despite monitoring
  • Personal injury or loss of life
  • Data loss or corruption
  • Business interruption
  • Cost of substitute services

10.4 Exceptions

These limitations do not apply to liability arising from SCT+'s gross negligence, willful misconduct, or obligations that cannot be limited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SCT+, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services in violation of these Terms or applicable law
  • Your failure to provide required notice to monitored individuals
  • Your failure to obtain necessary permits or comply with surveillance regulations
  • Claims by third parties arising from footage captured on your property
  • Your unauthorized use or sharing of footage or data obtained through the Services
  • Your breach of your obligations regarding equipment care and return

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@sctplus.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator.

12.3 Arbitration Location

Arbitration shall take place in the state where SCT+ headquarters is located, or at another location mutually agreed upon by the parties.

12.4 Class Action Waiver

YOU AND SCT+ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

12.6 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will provide at least 30 days' advance notice via email
  • Updated Terms will be posted on our website with a new "Last Updated" date
  • Your continued use of the Services after the effective date constitutes acceptance
  • If you do not agree to updated Terms, you may cancel your service without penalty during the notice period

14. Severability and Entire Agreement

14.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, Security & Data Protection page, and any order forms or service agreements, constitute the entire agreement between you and SCT+ regarding the Services and supersede all prior agreements, representations, and understandings.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
